The following terminology applies to these Terms and Conditions,
and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website
and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers
to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client
or ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake
the process of our assistance to the Client in the most appropriate manner, whether by formal meetings
of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect
of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law
of the Federal Republic of Nigeria. Any use of the above terminology or other words in the singular, plural,
capitalisation and/or he/she or they, are taken as interchangeable and therefore as referring to same.
Services
We offer a variety of video production, marketing, and design services, including but not limited to pre-production, production, post-production, web design, social media management, paid ads and distribution. The specific services we provide will be outlined in a project agreement between vincah digital limited and the client.
Payment
Our fees for services will be outlined in a project agreement between vincah digital limited and the client. Payment terms will also be outlined in the project agreement. We may require a deposit or advance payment before commencing work on a project.
Cancellation and Changes
If the client wishes to cancel or change a project, they must do so in writing. The client may be subject to cancellation or change fees depending on the stage of production and the amount of work completed. We reserve the right to cancel or reschedule a project at any time due to unforeseen circumstances or events beyond our control.
Ownership and Use of Content
All video content produced by us remains the property of vincah until payment has been received in full or project has been cancelled. Upon receipt of full payment, ownership of the video content will transfer to the client.
Client Responsibilities
The client is responsible for ensuring that any content provided to us for use in a video project, marketing, and design including but not limited to music, images, script and logos, is either owned by the client or has been licensed for use. The client is also responsible for obtaining any necessary permissions or releases for any individuals appearing in the video content.
Confidentiality
We will keep all information related to the client’s project confidential, except where required by law or with the client’s prior written consent.
Limitation of Liability
In no event shall vincah digital limited or its directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the client’s use of our video production, marketing or design services whether or not we have been advised of the possibility of such damages.
Refund Policy
We do not offer refunds for any reason. Once payment has been processed and debited by us, we do not have the ability to return funds. However, if there is an issue with the services provided, we will work with the client to find a mutually acceptable resolution.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the federal republic of Nigeria, without giving effect to any principles of conflicts of law.
Changes to Terms and Conditions
We reserve the right to modify these terms and conditions at any time, and a notice will be sent to all our email lists. The client’s continued use of our video production or any other
services following any such modification constitutes their acceptance of the modified terms and conditions.
